Parties
Service provider: Muhammed Salih Karataş, Avencrea (“Avencrea”), Fenerbahçe Mah. İğrip Sk. No:13 D:1, Kadıköy / İstanbul, info@avencrea.com.
Customer: the person or company that approves the quote or pays through the payment page. The customer’s name, address and billing details appear in the quote and on the invoice.
A customer acting for a business or for commercial purposes is not a consumer; the rights reserved for consumers (such as the right of withdrawal) do not apply, and the terms in the quote govern.
Subject of the agreement
This agreement sets out the rights and obligations for the remote sale of Avencrea’s services: AI and automation, web design and software, CRM and ERP, mobile apps, SEO and ad management, hosting, and support and maintenance.
The scope of each job, what will be delivered, the timeline, the number of revisions and the price are stated in the quote sent to the customer. The quote is an integral part of this agreement. If the quote and this agreement conflict, the quote applies; a quote cannot, however, limit a consumer’s statutory rights.
Conclusion of the agreement
The agreement is concluded when the first of the following happens:
- the customer accepts the quote with the “Approve” button on the quote link,
- the customer accepts the quote in writing by email,
- the customer pays for the quote or the invoice.
Approval and payment records are kept in Avencrea’s systems together with the version of the quote at the time of approval, and are sent to the customer by email.
Price and payment
- The price is the amount and currency stated in the quote. The quote says whether taxes are included.
- Payment may be upfront, in stages or recurring (subscription), following the payment plan in the quote. The due date of each payment is shown on the payment page.
- For card payments, card details are entered only on PayTR’s secure payment page; Avencrea never sees or stores them. If you choose instalments, the bank’s instalment charge is borne by the customer.
- A legal invoice (e-Arşiv or e-Fatura) is issued and sent to the customer for every payment.
- If a payment is not made when due, Avencrea may pause the work after written notice. The paused time is added to the delivery time.
Performance of the service
The service is performed according to the timeline and stages in the quote. The timeline starts on the day the first payment and the content, access and information needed to start reach Avencrea. How work is delivered, approved and revised is described in the Service Delivery Terms.
Obligations of the parties
Avencrea
- Performs the service within the scope of the quote, with care and on time.
- Keeps the customer informed of progress and gives notice as soon as it learns of a risk of delay.
- Uses the information the customer shares only for this job and keeps it confidential.
Customer
- Provides the content, images, text, access and approvals the work needs on time.
- Confirms that it has the right to use the content it shares; liability arising from third-party rights lies with the customer.
- Makes payments when due.
Intellectual property
The rights to use the design, text and software made specifically for the customer pass to the customer once the price of the job has been paid in full. Avencrea’s own tools, libraries and templates used across several projects remain Avencrea’s; the customer may use them indefinitely as part of the delivered work. Open-source and third-party components are subject to their own licences.
Unless the customer asks otherwise in writing, Avencrea may show the finished work as a reference on its website and in presentations; it never shares confidential information.
Right of withdrawal
A consumer may withdraw from the agreement within 14 days of its conclusion, without giving a reason and without penalty. The right of withdrawal cannot be used for services that, with the consumer’s express consent, start before this period ends, or for services performed instantly online. How to apply and how refunds are made is described in the Cancellation and Refund Terms.
Confidentiality and personal data
The parties keep the trade secrets and confidential information they learn during the work confidential, also after the agreement ends. Personal data is processed in line with the Turkish Personal Data Protection Law No. 6698; see our Privacy Policy.
Force majeure
In events beyond the parties’ control, such as natural disasters, epidemics, war, widespread internet or power outages, or failures of hosting or payment providers, obligations are suspended for as long as the event lasts. If it lasts more than 30 days, either party may end the agreement by written notice; the work done until then is paid for and any excess is refunded.
Disputes
Consumers may apply to the Consumer Arbitration Committee where they live or where they bought the service, within the monetary limits set each year by the Turkish Ministry of Trade, and to the Consumer Court above those limits.
For disputes with customers who are not consumers, the courts and enforcement offices of İstanbul Anadolu have jurisdiction. Avencrea’s system and email records count as evidence under Article 193 of the Turkish Code of Civil Procedure. This agreement is governed by Turkish law.
Entry into force
This agreement enters into force when the customer approves the quote or makes the payment, and remains in force until the work in the quote is complete or, for subscription services, until the subscription ends. Avencrea may update this text; updates do not apply retroactively to work already under way.
